Job Description

Himalayan Investment Banker Limited (HIBL) invites applications from qualified, competent, and experienced professionals for the position of Chief Executive Officer (CEO).

Position: Chief Executive Officer (CEO)

Role Summary

The CEO shall perform role of directing and monitoring the activities of the company and the fund in a manner that ensures strategic, operation and financial plans to be met. CEO shall ensure safeguarding of the assets of the company and optimization of such in the best interest of the stakeholders.

The CEO of Himalayan Investment Banker Limited (HIBL) shall have the primary responsibility for the management of the business and affairs of the Company in accordance with the HIBL’s strategy and objectives approved by the BOD, within the authority limitations delegated by the board.

Key Responsibilities

  • Supply corporate vision and develop and execute strategies based on the corporate vision.

  • Lead and direct corporate officers and business unit heads in the development and implementation of tactics to attain their respective strategic objectives.

  • Direct company strategy and philosophy to corporate officers and business unit heads.

  • Develop, direct and maintain HIBL’s culture, values, standards and regulation in its markets with all corporate officers and business unit heads, customers, suppliers, partners, regulatory and other government and official bodies and key community stakeholders. Ensure that corporate officers and business unit heads do the same with their staff.

  • Develop strategic options for HIBL to maximize enterprise value and position the operations for increased return on investment.

  • Review on a quarterly basis the HIBL’s business plans, annual budget, activities, benchmarks, operating targets and results through consultation with corporate officers and business unit heads to ensure that companies objectives and targets are met.

  • In consultations with HIBL’s Chief Financial Officer, maximize HIBL’s financial resources to ensure financial objectives and benchmarks are met or exceeded.

  • Report to the BOD and to shareholders regarding HIBL’s plan and performance including preparing for the BOD an annual budget.

  • Execute the responsibilities according to lawful and ethical standards and in accordance with the HIBL’s policies.

  • Serve on boards and key committees of major business units and joint ventures.

  • Ensure that the HIBL’s conducts its business in compliance with legal, regulatory and company policy standards.

Educational Qualification & Work Experience

  • Master’s degree (or equivalent postgraduate qualification) from a recognized university in: Economics, Commerce, Finance, Accounts, Management or Corporate Law, and having experience of minimum ten (10) years in Industry, Commerce, Capital Markets or Financial Sector (in Accounts, Finance, Corporate Law or Management related field) in the post of officer level or higher.

OR

  • Chartered Accountancy (CA) qualification from a recognized professional body, and having experience of minimum ten (10) years in Industry, Commerce or Capital Markets or Financial Sector (in Accounts, Finance, Corporate Law or Management related field) in the post of officer level or higher.

Additional Competency Requirements

  • Demonstrable knowledge of Nepal’s securities market laws and SEBON regulations.

  • Understanding of merchant banking functions: issue management, underwriting, portfolio management, mutual fund management, mergers & acquisitions advisory as well as Private Equity & Venture Capital (PEVC).

Eligibility Criteria

  • Must be a Nepali citizen.

  • Must satisfy “fit and proper” criteria as prescribed by SEBON and applicable laws.

  • Must not have been convicted of any criminal offence involving fraud, corruption, or moral turpitude.

  • Must not be an undischarged bankrupt or subject to financial disqualification orders.

  • Age: typically, between 35 to 65 years, subject to applicable regulatory provisions.

  • Business Plan / Professional Vision Document: maximum 5,000 words.

  • Declaration of no disqualification (self-declaration form).
