The Legal & Compliance Officer / Company Secretary is responsible for ensuring the organization's compliance with applicable laws, corporate governance standards, and regulatory requirements. The role involves managing legal documentation, statutory compliance, board governance, contract administration, and liaison with regulatory authorities while providing legal support to management.
Key Responsibilities
1. Legal Compliance & Regulatory Affairs
- Ensure compliance with the Nepal Company Act, Labor Act, SEBON regulations, and other applicable laws and regulatory requirements.
- Prepare, maintain, and file statutory records, licenses, permits, and other legal documents.
- Ensure timely filing of statutory returns and regulatory submissions with relevant authorities.
- Monitor changes in legal and regulatory requirements and advise management on necessary actions.
2. Corporate Governance & Company Secretarial
- Coordinate Board of Directors and Management meetings.
- Prepare agendas, notices, minutes of meetings, resolutions, and maintain statutory registers.
- Ensure compliance with corporate governance policies and company secretarial obligations.
- Maintain confidential corporate records and legal documentation.
3. Contract & Legal Documentation
- Draft, review, negotiate, and vet:
- Contracts
- Agreements
- Memorandums of Understanding (MOUs)
- Non-Disclosure Agreements (NDAs)
- Legal notices and correspondence
- Ensure legal documentation adequately protects the company's interests.
4. Regulatory Coordination
- Liaise with government authorities, regulatory bodies, SEBON, legal advisors, and external stakeholders.
- Coordinate and support activities related to ISO certification and compliance requirements.
- Facilitate regulatory inspections, audits, and compliance reviews.
5. Legal Advisory & Risk Management
- Advise management on legal compliance, corporate governance, and regulatory matters.
- Identify legal risks and recommend appropriate mitigation measures.
- Support policy drafting, review, and implementation to ensure legal compliance.
6. Litigation & Dispute Management
- Assist in handling legal disputes, notices, and litigation.
- Coordinate with external legal counsel on legal proceedings and documentation.
- Maintain records of ongoing legal matters and monitor case progress.
7. Other Responsibilities
- Ensure proper document management and confidentiality of legal records.
- Perform any other legal, compliance, or company secretarial duties assigned by management.
